Senior Intellectual Property Counsel

Position description:

The successful candidate will be responsible for creating global strategies to protect Ironwood’s intellectual property and leading the IP function for all corporate development activities. This person will be a highly visible resource for senior management and will be responsible for projects essential to the company’s success.  This director or senior director level position will report to the Vice President, Chief IP Counsel.


  • Develops and executes global intellectual property strategies for commercial products, late-stage development candidates and in-licensed programs, including creating patent prosecution and litigation approaches for new and existing patent portfolios

  • Leads IP function for corporate development team, including performing diligence for in-licensing opportunities, facilitating out-licensing activities, and supporting licensing transactions

  • Counsels senior management on critical IP issues, and guides commercial team members and scientists on cross-functional program teams

  • Conducts freedom to operate and patentability assessments, monitors competitor intellectual property, and collaborates cross-functionally to manage third party risk

  • Supervises external counsel in prosecution, litigation and transactional matters

  • Advises internal clients and in-house counsel on IP-related contracts and agreements

  • Assists Chief IP Counsel in developing yearly budget forecasts and monitoring outside counsel spend and performance

Minimum Requirements:

  • Ten years or more of hands-on patent experience with strong skills in drafting and prosecuting patent applications in the pharmaceutical field

  • Extensive experience in IP due diligence and transactional work, international patent portfolio management, and patent litigation, oppositions and/or post-grant proceedings

  • USPTO registration

  • J.D. and bar admission in at least one state

  • Law firm training and corporate experience within a life sciences company

  • Ph.D. in chemistry, biochemistry or pharmaceutical science, or B.S. or M.S. in chemistry or biochemistry with at least 5 years of work experience in medicinal chemistry, pharmaceutical science or a related field

  • Strong written and oral communication skills
