Corporate Counsel/Sr Corporate Counsel

Position description:

Opportunity to join a dynamic legal department in a commercial-stage pharmaceutical company, responsible for overseeing public company reporting matters, leading execution of financing-related transactions, and taking an active role in corporate governance and several other corporate-related legal matters spanning from investor relations to employment law. This position will report to the General Counsel and will work closely with colleagues in the legal department and across multiple internal functional groups, as well as with outside counsel. 

Responsibilities:

  • Primary legal contact for, and partner closely with finance and accounting teams in, preparation and filing of all SEC filings, including periodic and current reports, proxy statements, Section 16 reports and confidential treatment requests
  • Primary legal contact for, and partner closely with finance and accounting teams in, any financing-related transactions
  • Active role in corporate governance matters, including setting the agenda and preparing the materials for board and committee meetings
  • Provide legal advice in connection with disclosure matters, including investor presentations, press releases, and other corporate internal and external communications
  • Active role in business development collaboration, licensing and acquisition transactions
  • Active role in other corporate-related legal matters, including real estate, employment, litigation, supply and environmental matters

Abilities:

  • Strong technical/analytical skills, combined with a practical, business-oriented and strategic approach to identifying and solving business and legal problems
  • Strong organizational skills in order to maintain a high level of productivity, innovation and priority-setting in order to complete assignments on-time and on-budget
  • Excellent oral and written communication skills for effectively interfacing with all levels of management and departments within the company
  • Willingness to work collaboratively by incorporating diverse perspectives and appropriately managing relationships in order to strengthen decision-making
  • Proactively seek out and recommend process improvements

Requirements:

  • 3-6 years of large law firm (or large law firm plus in-house) corporate experience
  • 3-6 years of experience managing compliance with the Securities Act and the Securities Exchange Act for public companies
  • Legal experience with corporate governance and other corporate legal matters typical for a public company
  • J.D. from a law school accredited by the American Bar Association (ABA)
  • Licensed to practice law in Massachusetts

Preferences:

  • A combination of law firm and in-house experience in the life sciences industry
  • Transactional experience with collaboration, license and acquisition agreements in the life sciences industry
