Synacor has an immediate opening for a Corporate Counsel in our NYC or Frisco, Texas office! As a member of the internal Legal department at Synacor you will be assisting all business units in keeping out of trouble. You’ll be drafting and negotiating agreements for internal Synacor business partners as well as getting contracts signed and legal documents rolling out the door. This position also has a focus on negotiating services, SAAS, consulting, advertising and other contracts, as well as helping to ensure the company’s compliance with U.S. and international laws and supporting the corporate objectives of the company.
As a Corporate Counsel, no day will mirror the last. You will be busy working with internal and external clients one minute and the next you may be advising someone on the liability ramifications in an agreement. We work together as a team to effectively negotiate and enforce agreements with clients like HBO Go, Verizon, Century Link and Google, to name a few. You’ll also collaborate with paralegals, other attorneys internally and externally.

Review, draft and negotiate a wide variety of complex commercial agreements to meet business and legal requirements, including client, consultant, content vendor, service vendor, advertiser, and subcontractor agreements.
Collaborate with sales, finance, human resources, IT, search and advertising, and other departments to analyze business, regulatory and legal contract terms, and to support strategic objectives.
Assist in the management of contract documentation flow, approvals, reporting and archiving consistent with internal processes.
Research, analyze, and provide counsel regarding the organization’s compliance with existing and changing laws and regulations, and advise on compliance with contracts.
Provide advice and guidance regarding the development of company policies and procedures.
Assist with mergers and acquisitions
Minimum qualifications, education, degrees, experience, certifications, etc. necessary to be qualified for and successful in the position.
Law Degree with admission to any state bar or license to practice under the corporate counsel rules.
5+ years of experience as a practicing attorney.
Significant experience in contract review and drafting, intellectual property protection, and privacy compliance.
Experience negotiating complex agreements with large global organizations.
Ability to thrive in a fast paced environment, and react positively to changing needs and demands.
Strong business and financial acumen as well as superior analytical and writing skills.
