The Transit Authority of River City (TARC) seeks an experienced, detail-oriented and knowledgeable individual to act as TARC’s General Counsel to provide comprehensive legal counsel and legal risk analysis on a variety of matters to ensure that the organization operates within the law at all times.  This position will provide counsel to TARC management, Board of Directors and internal clients on legal issues, including litigation and risk management strategies; ensure compliance of federal, state and local laws and regulations surrounding a large grant-funded public mass transit organization; advise executive leadership regarding negotiation strategies and participate in union labor contract negotiations.


  • Provide legal counsel and support to senior management, Board of Directors and internal clients regarding government and regulatory compliance, including Federal Transit Administration (FTA) regulations.

  • Ensure regulatory compliance with state and federal laws, rules and regulations that are specific to grant-funded public mass transit organizations.

  • Advise and engage in grievance hearings, mediations, arbitrations and conflict resolution claims.

  • Advise departments on litigation and government reporting risks affecting business operations as necessary.

  • Provide appropriate training in relevant legal issues to leadership, management and supervisory personnel.

  • Provide advice and counsel to executive leadership regarding contract negotiation strategies.Participate in union labor contract negotiations.

  • Set, review and manage internal governance policies and consult with leadership team on effective employee relations, including a union organized workforce.

  • Assist with development of policies and processes throughout the organization as needed.

  • Ensure that litigation and legal matters that could adversely impact the organization are handled appropriately. Work with outside counsel to develop case strategy as needed.

  • Evaluate, weigh and advise on legal issues and implications of potential business decisions, initiatives or courses of action.

  • Strategically manage, eliminate or mitigate risk. Advise internal departments on regulatory compliance requirements and best practices.

  • Independently review public entity to ensure TARC develops and maintains ethics and integrity in the organization.

  • Develop, manage and maintain strong relationships with external parties including federal regulators, outside counsel, risk managers, politicians and the 41 million riders that TARC serves annually.

  • Draft and review agreements that minimize risks and maximize legal rights.

  • Manage complex, significant matters that cut across legal and related areas.

  • Keep abreast of legislative changes that would affect operations.



  • Juris Doctor from an accredited law school required.

  • Member of good standing with Kentucky Bar Association or licensure in another state with eligibility for licensure in Kentucky.

  • Minimum of ten (10) years relevant experience as General Counsel in business environment with overall broad legal knowledge, including litigation, corporate and labor law.

  • Ability to manage a heavy workload and prioritize multiple projects with competing deadlines.

  • Ability to navigate complex state and federal regulatory statutes.

  • In-depth understanding of how legal issues affect organizations.

  • High degree of professional ethics and integrity with ability to act independently.

  • Ability to work responsibly with highly confidential information and maintain composure under pressure.

  • Excellent judgement and analytical skills.

  • Excellent interpersonal and communication skills to allow effective interaction with regulatory agencies, politicians, team members and external clients.

  • Ability to anticipate legal issues, risks and to foresee legal issues on the horizon.

  • Solid understanding of public sector procurement process and public sector administrative procedures preferred. Knowledge and/or experience with Federal Transit Administration (FTA) regulations a plus.

  • Experience with a wide variety of commercial contracts preferred.

  • Hands-on, roll up the sleeves attorney who will do more than delegate to outside counsel

  • The ability to work with and instill confidence in a wide variety of individuals, including Board members, executives, operational employees, local, state and federal government officials, outside counsel and the public.An understanding of Commonwealth of Kentucky and Louisville Metro government is preferred.


    Pay commensurate with level of experience.
